These Terms & Conditions ("Terms") govern your use of the ULIST Guides platform, operated by ULIST LTD ("we", "our", "us"). By accessing or using the platform, you agree to be bound by these Terms. If you do not agree, please do not use the platform.

1. Rules for Using ULIST

You agree to use ULIST Guides lawfully and responsibly. You must not:

• Submit false, misleading, or fraudulent business information.
• Use the platform for any unlawful, harmful, or abusive purpose.
• Attempt to gain unauthorised access to the platform or its systems.
• Interfere with the proper functioning of the platform.
• Reproduce, copy, or distribute platform content without permission.

2. Business Listing Responsibilities

Business owners ("Business Owners") are responsible for ensuring that all information submitted for their listings is accurate, up to date, and does not infringe on any third-party rights. Business Owners grant ULIST a non-exclusive licence to display submitted content (including text, images, and logos) on the platform for the duration of the listing.

Business Owners acknowledge that listings are subject to review and approval by ULIST or the relevant District Partner before publication.

3. District Owner / Franchise Responsibilities

District Partners ("District Owners") are responsible for managing their assigned district, including:

• Reviewing and approving business listings within their district.
• Maintaining accurate district content, events, and information.
• Managing Field Agents operating within their district.
• Ensuring compliance with these Terms and all applicable laws.
• Maintaining the quality and accuracy of listings and content.

4. Payment Handling via Stripe

All payments on the ULIST platform — including sponsorship fees, subscription plans, and district fees — are processed securely through Stripe. ULIST does not store your full card details. By making a payment, you agree to Stripe's terms of service and privacy policy. Refunds are handled in accordance with our Refund Policy.

5. Liability Limitations

ULIST Guides is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, ULIST LTD shall not be liable for:

• Any indirect, incidental, or consequential losses arising from your use of the platform.
• The accuracy, completeness, or reliability of business listings submitted by third parties.
• Any downtime, interruption, or technical failure of the platform.
• Any loss of data, revenue, or business opportunity.

6. Intellectual Property Ownership

The ULIST Guides platform, including its design, branding, software, and original content, is the intellectual property of ULIST LTD. Business listing content remains the property of the respective Business Owner, subject to the licence granted in Section 2. Unauthorised use, reproduction, or distribution of ULIST intellectual property is strictly prohibited.

7. Account Suspension Rules

We reserve the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or misuses the platform. We may also remove or withhold publication of any listing that contains false, offensive, or unlawful content. Where appropriate, we will provide notice and an opportunity to remedy the issue before suspension.
